When a company decides it needs to raise funds from the general public or venture into heavy industries, the natural evolution is to incorporate—or convert into—a Public Limited Company. This guide breaks down the legal architecture of Public Limited Companies under the Companies Act 2017, focusing on the critical differences between Unlisted and Listed entities, and the registration hurdles involved. --- Unlisted vs. Listed Public Companies The fundamental distinction in the public sphere is whether the company's shares are publicly traded on the Pakistan Stock Exchange (PSX). Unlisted Public Company An Unlisted Public Company is registered with the SECP to have an unlimited number of shareholders, but its shares are not traded on the stock market. Minimum Promoters/Directors: Requires a minimum of three (3) directors and three (3) founding members. Capital Raising: It can raise capital from a wide array of private investors without the 50-person cap of a Private Limited company, but it cannot make an Initial Public Offering (IPO) to the general retail public. Listed Public Company A Listed Public Company has gone through the rigorous process of an IPO and has its shares actively traded on the PSX.
